Answers to the questions business owners ask us most often before a sale.
How do I sell my company in Luxembourg?
Most owner-managed companies are sold through a structured process led by an M&A adviser. It starts with preparation: analysing the financials, setting a valuation range and writing the information memorandum. Selected buyers are then approached confidentially, offers are compared and negotiated, and the preferred buyer carries out due diligence before the share purchase agreement is signed and the sale closes. Polarix runs this process for shareholders, with valuation, due diligence and tax handled by the same team.
How long does it take to sell a business?
Usually nine to twelve months from the start of preparation to closing. The timetable depends on market conditions and buyer appetite, how ready the financial information is, the type of buyer and its financing, and any approvals required. Due diligence alone typically takes six to eight weeks from data room access.
How much is my company worth?
Value depends on sustainable earnings, growth prospects, risk and what buyers have paid for similar businesses. We combine discounted cash flow, trading multiples and precedent transactions, and adjust earnings the way a buyer’s accountant will. A valuation well before a sale gives you a realistic price expectation and time to improve what drives it. If you are thinking about selling, bringing in an investor or reorganising your shareholding, get in touch. We will talk you through what your business is worth today and what could increase its value.
Can I sell my company confidentially?
Yes. Buyers first receive an anonymous teaser. The company’s name and detailed information are released only after a non-disclosure agreement is signed, and you approve the list of buyers we approach. For most private companies we recommend a controlled auction: enough competition to set the price, with a group small enough to keep the process confidential.
How is the sale of a Luxembourg company taxed?
It depends on whether you sell shares or assets, the size of your shareholding and how long you have held it, your tax residence and the holding structure. Most of these options are only open before the sale is negotiated, so our tax partner works on the structure from the first week rather than at signing.
I have received an offer. Do I still need an adviser?
An unsolicited offer is a good moment to talk to us. We test the price against a valuation and against what other buyers might pay, then negotiate the terms, the due diligence and the share purchase agreement, either with that buyer alone or by bringing in others.
